These Terms of Service apply to the use of Shypr: the app at web.shypr.app, our API, our MCP server and our website. When you create a workspace or use Shypr, you agree to these terms. Read them carefully.
1. About Shypr and these terms
Shypr is located at Schweitzerlaan 24, 1187 JD Amstelveen, The Netherlands ("Shypr", "we", "us"). These terms are an agreement between Shypr and the company or organization that uses Shypr ("you").
Shypr is a service for businesses. You can use Shypr only for your business, not as a consumer. If you accept these terms for a company, you confirm that you are authorized to do so.
In these terms:
- Workspace means the environment in Shypr where the data of your company is stored.
- Users means the people to whom you give access to your workspace.
- Customer data means all data that you or your users put in your workspace.
2. Your account and your users
- Give correct and complete information when you register, and keep it up to date.
- Keep passwords, passkeys and API keys secret.
- You decide who gets access to your workspace, and with which permissions. You are responsible for what your users do in your workspace.
- If you think that someone uses your account without permission, tell us immediately at hello@shypr.app.
3. Acceptable use
You must not:
- use Shypr for illegal purposes, or store illegal content in it;
- try to get access to workspaces, accounts or systems that are not yours;
- test, scan or attack the security of Shypr without our written permission;
- copy, change, decompile or reverse engineer the software, unless the law allows it;
- overload Shypr, for example with automated requests that are more than reasonable use of the API;
- resell Shypr, or offer it to third parties as your own service, without our written permission.
If you do not obey these rules, we can suspend your access, as described in section 11.
4. Your data
- You own the customer data. These terms do not give us ownership of it.
- You give us permission to store, copy, process and show the customer data, but only as necessary to provide Shypr and support to you.
- You are responsible for the customer data, and for having a legal basis to put it in Shypr.
- You can export your data at any time, for example with the Excel export or the API.
5. Data processing
For the personal data in the customer data, you are the controller and Shypr is the processor under the General Data Protection Regulation (GDPR). This section is the data processing agreement in Article 28 of the GDPR. We:
- process personal data only to provide Shypr, and only on your documented instructions: these terms and the way you use Shypr;
- make sure that the people at Shypr who can access personal data have a duty of confidentiality;
- take appropriate technical and organizational measures to protect personal data;
- use the subprocessors that are listed in our privacy policy, and tell you before we add or replace a subprocessor, so that you can object;
- help you to answer requests from data subjects, and to meet your obligations for security, data breaches and data protection impact assessments;
- tell you without undue delay when we find a personal data breach that affects your data;
- delete the personal data when the agreement ends, as described in section 11, unless the law requires us to keep it;
- give you the information that you need to show compliance with Article 28 of the GDPR, and allow audits with reasonable notice.
6. AI assistant
The AI assistant uses artificial intelligence to answer questions about your workspace. Its answers can be incomplete or wrong, so check important information before you rely on it. The assistant asks for your approval before it changes data. You are responsible for the changes that you approve.
7. Integrations and third-party services
You can connect Shypr to services of other companies. Examples are Mollie for payment links, Google and Microsoft for sign-in, and AI agents that connect through our API or MCP server. These services have their own terms, and we are not responsible for them. When you connect a service, you give us permission to exchange data with it as necessary for the connection.
8. Fees and payment
If you use a paid plan, you pay the fees that we show or agree with you before you start. Unless we agree otherwise, you pay the fees in advance, and the fees do not include VAT.
We can change our fees. We tell you at least 30 days before a change takes effect. If you do not agree with the change, you can end the agreement before the change takes effect. If you do not pay on time, we can suspend your access after we send you a reminder.
9. Availability and changes to Shypr
We work hard to keep Shypr available and secure, and we back up your data automatically. But we cannot guarantee that Shypr is always available or free of errors. Sometimes we need to do maintenance. When possible, we do it outside business hours and tell you in advance.
We improve Shypr all the time, so features can change. Before we remove an important feature, we tell you.
10. Intellectual property
Shypr and all related software, designs, text and trademarks belong to Shypr or its licensors. During the agreement, you get a non-exclusive and non-transferable right to use Shypr in line with these terms. If you send us ideas or feedback, we can use them without any obligation to you.
11. Term, suspension and termination
- The agreement starts when you create a workspace. It continues until you or we end it.
- You can end the agreement at any time. Close your workspace, or send an email to hello@shypr.app. We do not refund fees that you already paid, unless the law requires it.
- We can end the agreement with 30 days' notice by email.
- We can suspend your access, or end the agreement immediately, if you seriously break these terms, if you do not pay after a reminder, or if the law requires it.
- After the agreement ends, you can export your data for 30 days. After that period, we delete your workspace and the customer data. Copies in backups are deleted when the backups expire.
12. Liability
- Our total liability for damage that is related to the agreement is limited to the fees that you paid us in the 12 months before the event that caused the damage.
- We are not liable for indirect damage, such as lost profit, lost savings or damage because of business interruption.
- We are not liable when we cannot do our obligations because of causes that we cannot control, such as failures of the internet, power or our suppliers.
- These limits do not apply if the damage is caused by intent or deliberate recklessness of Shypr.
13. Changes to these terms
We can change these terms. We tell you about important changes by email at least 30 days before they take effect. If you continue to use Shypr after that date, you accept the new terms. If you do not agree, you can end the agreement before the changes take effect.
14. Applicable law and disputes
Dutch law applies to these terms. The competent court in Amsterdam, The Netherlands, decides on disputes.
